1. Acceptance of Terms

By accessing or using the Shunheng ERP platform ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to all the terms, you may not access or use the Service.

2. Description of Service

Shunheng ERP provides data analytics and enterprise resource planning (ERP) solutions for Amazon sellers, including but not limited to:

• Brand Analytics report visualization and analysis
• Inventory and order management
• Advertising campaign analytics
• Financial reporting and profit analysis
• Data export and reporting tools

3. User Responsibilities

As a user of the Service, you agree to:

• Provide accurate, current, and complete registration information
• Maintain the confidentiality of your account credentials
• Use the Service in compliance with all applicable laws and regulations
• Comply with Amazon's Acceptable Use Policy and applicable SP-API terms
• Not misuse the Service for any unlawful or unauthorized purpose

4. Prohibited Conduct

You may not:

• Use the Service to violate any law or regulation
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to store or transmit malicious code
• Resell or redistribute the Service without our express written consent

5. Intellectual Property

The Service, including its software, design, text, images, and data compilations, is the property of Nanjing Shunheng Information Technology Co., Ltd. and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.

6. Fees and Payment

Service fees are as specified on our pricing page. Payments are due according to the billing cycle selected (monthly or annual). All fees are non-refundable except as expressly stated in our refund policy. We reserve the right to modify pricing with 30 days' notice.

7. Data Ownership

You retain all ownership rights to your data. We access your Amazon SP-API data solely to provide the Service. We do not claim ownership over any of your data.

8. Limitation of Liability

To the maximum extent permitted by law, Shunheng ERP shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service. Our total liability for any claim arising from the Service shall not exceed the amount you have paid us in the 12 months preceding the claim.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free.

10. Termination

We may terminate or suspend your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. We will delete your data in accordance with our Data Protection Policy.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from these Terms shall be resolved through friendly negotiation; if negotiation fails, the dispute shall be submitted to the competent court in Nanjing, China.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.
